baik seperti integriti, ketelusan dan profesionalisme yang merupakan antara komponen utama yang menyumbang kepada kemajuan dan kejayaan dalam mencapai objektif pihak berkepentingan.<\/p><p><br \/>Untuk memastikan piawaian terbaik dari segi integriti dan etika perniagaan, profesionalisme haruslah dipraktikkan. Pengerusi KWAP bertanggungjawab untuk memastikan keberkesanan dan tatacara Ahli Lembaga manakala Ketua Pegawai Eksekutif KWAP, dilantik dengan sewajarnya oleh Ahli Lembaga dengan kelulusan Menteri Kewangan, bertanggungjawab untuk keseluruhan operasi perniagaan dan pelaksanaan dasar, dan keputusan yang dibuat oleh Ahli Lembaga serta keputusan pelaburan yang dibuat oleh Panel Pelaburan mengikut Akta. Ketua Pegawai Eksekutif dibantu oleh pihak Pengurusan dalam menjalankan pentadbiran harian KWAP dan kawalan pentadbiran kakitangannya.<\/p><\/div>\n            <\/div>\n                    <\/div>\n                <div class=\"theplus-accordion-item\"  role=\"tab\">\n            <div id=\"elementor-tab-title-8553\" class=\"elementor-tab-title plus-accordion-header 0 text-left \" data-tab=\"3\" aria-controls=\"elementor-tab-content-8553\">\n                                \n                <span style=\"width:100%\">Tugas dan Tanggungjawab Lembaga<\/span>                <span class=\"elementor-accordion-icon elementor-accordion-icon-right\" aria-hidden=\"true\"><span class=\"elementor-accordion-icon-closed\"><i aria-hidden=\"true\" class=\"icon icon-plus\"><\/i><\/span><span class=\"elementor-accordion-icon-opened\"><i aria-hidden=\"true\" class=\"icon icon-minus\"><\/i><\/span><\/span>            <\/div>\n\n                        <div id=\"elementor-tab-content-8553\" class=\"elementor-tab-content elementor-clearfix plus-accordion-content 0 \" data-tab=\"3\" role=\"tabpanel\" aria-labelledby=\"elementor-tab-title-8553\">\n                <div class=\"plus-content-editor\" ><p>Lembaga ditubuhkan untuk mentadbir dan mengurus KWAP dengan kaedah yang akan meningkatkan kepentingan pencarum dan pihak berkepentingan masing-masing. dalaman dan luaran dan memastikan penyelarasan pendekatan di antara juruaudit dalaman, juruaudit luar dan \/ atau penyedia perkhidmatan jaminan dan perundingan luaran lain;<\/li><li>Mengkaji laporan audit yang dilakukan terhadap KWAP dan subsidiari oleh juruaudit dalaman, juruaudit luar dan \/ atau penyedia perkhidmatan jaminan dan perundingan luaran dan memastikan bahawa pihak pengurusan mengambil tindakan pembetulan yang diperlukan tepat pada masanya untuk mengatasi kelemahan kawalan, ketidakpatuhan terhadap undang-undang, keperluan peraturan, dasar dalaman dan prosedur dalaman;<\/li><li>Untuk meluluskan dan mengesyorkan pelantikan, pemindahan, pembaharuan dan penyingkiran Ketua Jabatan Audit Dalaman ke BRNC sebelum persetujuan akhir Lembaga;<\/li><li>Mengkaji dan meluluskan Kad Skor Jabatan Audit Dalaman yang dicadangkan untuk penilaian prestasi tahunan;<\/li><li>Untuk menilai dan menyetujui prestasi Ketua Jabatan Audit Dalaman;<\/li><li>Meluluskan dan mengesyorkan saraan Ketua Jabatan Audit Dalaman kepada BRNC untuk dibincangkan sebelum persetujuan akhir Lembaga;<\/li><li>Untuk menyetujui piagam audit dalaman dan rancangan audit dalaman berdasarkan risiko;<\/li><li>Untuk memastikan bahawa fungsi audit dalaman memiliki kedudukan yang sesuai di KWAP dan memiliki kuasa, sumber dan kecekapan yang diperlukan untuk melaksanakan tugasnya;<\/li><li>Untuk mengkaji keberkesanan fungsi audit dalaman, dengan menerima kemas kini berkala mengenai prestasi aktiviti audit dalaman yang berkaitan dengan rancangannya, termasuk pematuhan dengan Kerangka Amalan Institut Juruaudit Dalaman Profesional Antarabangsa (IPPF) untuk Pengauditan Dalaman; dan<\/li><li>Untuk mengkaji dan menyetujui sebarang perubahan penting dalam metodologi dan proses audit.<\/li><\/ol><p>\u00a0<\/p><\/li><li>Kawalan Dalaman<br \/><ol type=\"a\"><li>Untuk memberikan penilaian bebas mengenai kecukupan dan kebolehpercayaan proses pengurusan risiko dan sistem kawalan dalaman dan kepatuhan terhadap polisi risiko, undang-undang, garis panduan dalaman, dan persyaratan peraturan.<\/li><\/ol><p>\u00a0<\/p><\/li><li>Tanggungjawab Lain<br \/><ol type=\"a\"><li>Untuk berbincang dengan juruaudit dalaman, juruaudit luaran dan \/ atau penyedia perkhidmatan jaminan dan perundingan luaran lain secara berkala mengenai perkara yang ingin mereka bincangkan (jika tiada pengurusan sekiranya perlu);<\/li><li>Untuk mempertimbangkan penemuan utama penyiasatan dalaman dan tindak balas pengurusan;<\/li><li>Mengarahkan dan memberikan pengawasan type=\"i\"><li>Mengenai pelantikan sumber manusia adalah seperti berikut:<br \/><ol type=\"a\"><li>untuk mengesyorkan syarat minimum berkaitan kemahiran, pengalaman, kelayakan dan kecekapan teras kakitangan KWAP yang lain;<\/li><li>untuk mengesyorkan dan mengkaji terma dan syarat pekerjaan dan perkhidmatan kakitangan KWAP;<\/li><li>untuk mengesyorkan dan mengkaji semula tatakelakuan dan tatatertib kakitangan KWAP;<\/li><li>untuk mengesyorkan mekanisme penilaian formal mengenai keberkesanan kakitangan KWAP;<\/li><li>untuk mengesyorkan kenaikan pangkat kakitangan KWAP;<\/li><li>mengkaji dan mengesyorkan kepada Lembaga pelantikan, peningkatan dan kenaikan pangkat Pengurusan Kanan Kumpulan KWAP;<\/li><li>mempertimbangkan perancangan penggantian Ketua Pegawai Eksekutif dan Pengurusan Kanan;<\/li><li>untuk mengesyorkan pemecatan Ketua Pegawai Eksekutif dan Pengurusan Kanan sekiranya mereka didapati tidak berkesan, keliru dan cuai dalam melaksanakan tugas mereka;<\/li><li>untuk menentukan imbuhan dan syarat pekerjaan Ketua Pegawai Eksekutif;<\/li><li>untuk menentukan kontrak dan sasaran prestasi dan struktur ganjaran untuk Ketua Pegawai Eksekutif dan menilai prestasi Ketua Pegawai Eksekutif berbanding sasaran ini;<\/li><li>untuk mencadangkan kepada Lembaga rangka kerja imbuhan Ketua Pegawai Eksekutif dan Pengurusan Kanan. BNRC boleh mendapatkan nasihat profesional bebas dan maklumat lain yang diperlukan dalam menentukan rangka kerja;<\/li><li>untuk mengesyorkan kepada Lembaga apa-apa cadangan Ketua Pegawai Eksekutif dan Pengurusan Kanan (jika ada) saraan dan faedah termasuk kontrak perkhidmatan dan pembayaran pampasan untuk kelulusan;<\/li><li>untuk menetapkan prosedur formal dan telus untuk menyusun dasar mengenai imbuhan Ketua Pegawai Eksekutif dan Pengurusan Kanan (jika ada) dan untuk menetapkan pakej imbuhan masing-masing;<\/li><li>untuk mengkaji semua faedah dan kelayakan Ketua Pegawai Eksekutif dan Pengurusan Kanan (jika ada) Kumpulan KWAP;<\/li><li>untuk mempertimbangkan komitmen pampasan \/ pembayaran pesangon untuk Ketua Pegawai Eksekutif sekiranya penamatan awal kontrak pekerjaan \/ perkhidmatan;<\/li><li>Untuk mengesyorkan pencalonan dan pelantikan untuk sebarang jawatan dilaporkan kepada Ketua Pegawai Eksekutif; dan<\/li><li>Untuk mempertimbangkan isu-isu lain seperti yang ditentukan oleh Lembaga.<\/li><\/ol><p>\u00a0<\/p><\/li><li>Fungsi lain merangkumi adalah seperti berikut:<br \/><ol type=\"a\"><li>Untuk mengesyorkan kepada Lembaga mengenai rangka kerja atau dasar secara luas untuk imbuhan Ketua Pegawai Eksekutif dan pengurusan kanan KWAP yang lain kerana pertimbangan BNRC ditetapkan untuk dipertimbangkan;<\/li><li>Untuk mengesyorkan kepada Lembaga apa-apa skim pembayaran yang berkaitan dengan prestasi untuk KWAP;<\/li><li>Untuk mengesyorkan kepada Lembaga dasar dan skop perjanjian perkhidmatan eksekutif, pembayaran pemberhentian dan pampasan;<\/li><li>Mengawasi perubahan besar yang berkaitan dengan kakitangan KWAP;<\/li><li>Untuk mempertimbangkan dan meneliti perkara-perkara yang relevan sebagaimana yang difikirkan wajar oleh BNRC; dan<\/li><li>Mengkaji dan mengesyorkan kepada Lembaga mengenai rangka kerja, atau polisi dan cadangan pakej saraan secara meluas seperti elaun, faedah, honorarium, dan pampasan bagi anggota Lembaga dan Panel Pelaburan. type=\"i\"><li>Untuk menyemak pendaftaran petender di Kementerian Kewangan dan Pusat Khidmat Kontraktor, iklan pelawaan tender, spesifikasi tender, dokumen tender (jika perlu), jadual tender yang disiapkan oleh Jawatankuasa Pembuka Tender, laporan penilaian teknikal dan kewangan, dll;<\/li><li>Untuk memastikan bahawa proses perolehan mematuhi semua etika, polisi dan prosedur perolehan yang berlaku;<\/li><li>Untuk mengkaji kemampuan teknikal dan kewangan petender.
